Second bid by Sime to sell its healthcare stake
Rise in NCDs a significant threat
LESS THAN a year after a RM5.67 billion deal with IHH Healthcare Bhd ( IHH ) fell through , Sime Darby Berhad and its joint venture partner , Ramsay Health Care Limited are making a second attempt to sell their interests in Ramsay Sime Darby Health Care Sdn Bhd ( RSD ).
RSD owns seven hospitals in Malaysia and Indonesia . In Malaysia it owns Subang Jaya Medical Centre , ParkCity Medical Centre , Ara Damansara Medical Centre and Bukit Tinggi Medical Centre .
“ The decision has been reached following the receipt of significant inbound interest in RSD at values that are in shareholder ’ s interests to explore , noting that there is no certainty that a sale process will result in a completed transaction ,” Ramsay Health Care said in its filing with the Australian Stock Exchange recently .
THE MINISTRY of Health ( MoH ) raided a company supplying unregistered medical devices to pharmacies and private clinics nationwide .
Medical Device Authority ( MDA ) surveillance and operation unit chief Dery Akmal Abdul Rahman was reported as saying that the operation took place on June 13 in Taman Perindustrian Wawasan in Batu Pahat , Johor .
He said the 40-year-old business owner had received warning letters in 2018 and 2022 but still continued operating .
“ The first warning was issued in 2018 based on a public complaint as the owner was found selling two types of unregistered medical devices .
“ Another complaint was lodged in July 2022 , where we issued another warning to the company , this time for selling five types of unregistered medical devices ,” he said .
In a brief announcement to Bursa Malaysia , Sime Darby said , together with its partner Ramsay Health Care , a decision has been made to explore the possibility of realising a sale of its 50:50 joint venture in RSD .
“ At this stage , there is no assurance that the sale process will result in a transaction . Sime Darby will make the necessary announcement to Bursa Malaysia Securities Berhad if and when there is a definite corporate proposal by the company ,” Sime Darby said .

The news agency reported the companies were in talks with financial advisors to explore a sale of the JV to strategic investors in a deal that could value the business at some RM6 billion .
On Sept 9 , 2022 , IHH announced its discussion with Sime Darby and Ramsay Health Care for IHH ’ s proposed acquisition of 100 per cent of the JV had concluded without a binding agreement .

THE INCREASE in non-communicable diseases ( NCDs ) over the past 20 years , which the pandemic has accelerated , poses a significant threat to Malaysia ’ s healthcare system .
NCDs are the leading cause of death and disability in Malaysia , according to the “ The Direct Healthcare Cost of Non-Communicable Diseases in Malaysia ” report published by the World Health Organisation ( WHO ) and the Malaysian Ministry of Health ( MoH ).
The joint study also showed how the rising prevalence of NCDs is taxing the nation ’ s healthcare system by driving up the demand for medical care .

The report also noted that coupled with lost productivity costs , the combined annual cost burden of diabetes , cardiovascular disease , and cancer was estimated at RM22.5 billion .
Dr Chan continued : “ With experts warning that the cost of treating NCDs will continue to increase in the coming years due to the nation ’ s growing ageing population , everyone needs to play their part to help stem this nationwide challenge .
“ Businesses must play a more proactive role in the health of their employees , not just to mitigate the impact of a future pandemic , but also to address other ongoing health issues , such as NCDs and mental health , affecting their team members .
