Gloves come off in family feud

HEALTHCARE-LISTED Supermax Corporation Berhad was in the limelight for all the wrong reasons . On April 19 , its group non-executive director Cecile Jaclyn Thai dropped a bombshell that she had experienced bullying and silencing from other board members while trying to uphold her fiduciary duties .

The board members included her father , Datuk Seri Stanley Thai , who is Executive Chairman and a major shareholder of the glove manufacturer . In her resignation letter on April 16 , she claimed there had been attempts by the board to act against corporate governance practices , punish dissent and silence transparency . This led to her decision to resign from her position . The concerted attempt by the board to act against corporate governance practices , she said , was against her principles , ethics and values .“ As such , I cannot in good conscience continue serving on this board of directors that do not act in alignment with their fiduciary responsibilities to put the company and its shareholders first .” She said she wanted the reason for her departure and her disagreements with the Supermax board to be accurately announced to Bursa Malaysia .
Meanwhile , Supermax responded and refuted every point Cecile raised in her resignation letter .

A Press report quoted the company as saying that the board has stated that it welcomes constructive criticism and different views by any board members , and that it will certainly take appropriate action to address shortcomings where possible . However , it could not agree with Cecile ’ s allegations and assertions , which the board finds to be unfounded .
It said the board always allowed all directors , including Cecile , to speak freely and their views and comments be taken down in the meeting minutes accordingly , indicating that there have been no efforts or attempts to stifle any director .
This latest boardroom battle comes at a time when glove stocks are under pressure to perform financially , given the falling demand and thinning margins after the bullish streak seen in 2020 buoyed by the Covid-19 pandemic .
For the record , Stanley Thai was sentenced to five years in jail and fined RM5 million for insider trading in November 2017 . However following his appeal , the High Court in September 2020 set aside the jail term and fine .
